LOUIS L. BROUDY heads the firm's Asset-Based Lending, Structured Finance and Financial Institutions Advisory practice group. Mr. Broudy has over forty years of experience in asset-based lending and commercial finance, general corporate and securities law, mergers, acquisitions and divestitures, and all aspects of real estate law, including the acquisition, development, construction, finance, leasing and sale of commercial, industrial and residential properties. His experience is broad based, ranging from being General Counsel of two NYSE Fortune 500 companies to being outside counsel to hedge funds and other privately-held investment concerns as well as commercial finance and factoring companies. Mr. Broudy graduated from Cornell University in 1960 and received his J.D. decree in 1963 from the University of Virginia School of Law. He received his Masters in real estate law in 1965 from the Brooklyn Law School. Mr. Broudy has for many years been a director and past president of the homeowners' association where he lives in Connecticut as well as a member of the Board of Governors of the Norwalk (Connecticut) Symphony Orchestra Society.

Mr. Broudy has represented both lenders and borrowers in a wide variety of secured and unsecured loan transactions, including working capital loans, commercial equipment leasing, bridge loans, acquisition finance, accounts receivable and purchase order financing and accounts receivable factoring. His expertise specifically encompasses the structuring of loan and other types of financial asset origination programs for financial services and commercial lending companies and investment funds not only through traditional means but through creative and innovative techniques as well. Over the past year alone, he and other members of his practice group have closed or been involved directly in loan and other financing transactions aggregating in excess of a quarter of a billion dollars.

His real estate lending practice is national in scope, and routinely involves complex loan transactions with multiple borrowers and real estate collateral located in two or more states. For example, one $50 million loan transaction involved the simultaneous sale and leaseback of 22 separate parcels of real estate located in 19 jurisdictions. His real estate experience also includes the purchase, sale, financing and leasing of commercial and industrial properties from both the landlord and tenant perspective, and the purchase and sale of residential apartments and apartment buildings.

With respect to corporate and business law matters, Mr. Broudy has represented large publicly-traded corporations as well as start-ups in all aspects of corporate representation. He provides legal advice to corporate clients at all stages of a business entity's existence and development, beginning with its formation, continuing through its raising of equity and debt financing, both in registered public offerings and in private placements with private equity, venture capital and mezzanine debt firms, and finally concluding with its acquisition by a third party acquiror. Mr. Broudy has been actively involved in creating and structuring investment vehicles for the firm's hedge fund clients and other private investment company clients.

Mr. Broudy has also played a key role in assisting high profile individuals on the negotiation of employment and severance agreements.
